HRC Membership Terms & Conditions of Use


Introduction

The Human Resources Consortium, Inc. (hereafter, “HRC”)maintains membership relationships for individuals or organizations (hereafter, “Member” or “Members”) for the purpose of accessing human resources management services, resources and information (hereafter, “Member Services”) through its website. This HRC Membership Enrollment Application contains the Terms & Conditions of Use governing your access to and use of Member Services. If you do not agree or accept these Terms & Conditions of Use or you do not meet or comply with their provisions, you may not continue your enrollment as an HRC Member. Your enrollment as a Member is expressly conditioned upon your accepting and agreeing to these terms and conditions of use.

15-Day Free Trial

The HRC may offer a 15-day free trial period for all new enrollees.  During the free trial period, Members may not be charged a subscription fee, but may be able to browse and explore the many Services and benefits associated with HRC Membership.  At the end of the free trial period, subscriptions fees shall apply.  At the time of enrollment, an effective date in which subscriptions fees shall apply, following the free trial period will be provided.

Membership Options

The HRC offers two types of membership options, 1) Standard Membership and 2) Preferred Membership; each outlining specific features and benefits associated with each.  Each Membership Option is made available through a 12-month paid subscription.  To review the services and features associated with Standard or Preferred Membership, please reference the supplemental HRC Membership Features and Benefits Flyer accompanying this Application.

Membership Subscription & Renewal

HRC Membership is based on a twelve (12) month subscription.  Members pay a subscription fee that is paid either monthly, quarterly, semi-annually, or annually.  Members looking to pay for their subscription fee through direct billing or invoice are offered the option to pay either quarterly, semi-annually, or annually.  No monthly option is made available.  A Member’s subscription automatically renews at the end of the Member’s subscription term, unless terminated by either the HRC or the Member.

Cancellation and Suspension

The Member may cancel their membership at any time by providing an advance 30-day written notice of cancellation.

The HRC may cancel or suspend a Member’s subscription at any time, for any reason, including, but not limited to, the following events: 1) the Member has been found to have violated any of the terms and conditions of use, 2) the Member has been found to have violated any of the rules, procedures, terms and conditions outlined in the HRC Membership Handbook, and 3) the Member has failed to maintain their Membership in good financial standing.  However, cancellation of membership shall not relieve the Member of any payment obligations if the Member still owes for past or current subscription fees.

Upon cancellation or suspension, the Member’s user access will be reclassified to a Free Visitor User Account which will offer the Member limited access to online or Internet-based features and benefits usually associated with Standard or Preferred Membership.

Free Visitor User Account

The Free Visitor User Account does not offer any business partner discounts and provides limited access to most of the features, benefits and privileges associated with standard or preferred membership.

HRC's Proprietary Materials

HRC owns or holds a license to use and sublicense various materials in existence before the effective date of your membership subscription (“HRC's Materials”). HRC may, at its option, include HRC's Materials offered under these Terms and Conditions of Use. HRC retains all right, title and interest, including all copyrights, patent rights and trade secret rights in HRC's Materials. HRC grants the Member a royalty-free nonexclusive worldwide license to use any of HRC's Materials incorporated into the features and benefits of HRC Membership offered by the HRC under these Terms and Conditions of Use (for example, but not limited to, forms and publications, sample letters, and sample policies).  The Member may use HRC's Materials only in conjunction with their business or organization use and not in the Member’s other products. The license shall have a perpetual term and may not be transferred by the Member.

Proprietary Notice

A patent notice or copyright notice and credit line in HRC's name shall accompany any reproduction of HRC’s proprietary materials.

Copyright

At no time shall a Member distribute, modify, publish, transmit, participate in the transfer or sale of, create derivative works of, and in any way exploit, in whole or in part, any proprietary or other materials by the HRC.

HR Coaching and Consultation Service (Preferred Membership Only)

The HRC offers up to five (5) hours of human resource management (HR) professional coaching and consultation service as part of the Preferred Membership.  HR coaching and consultation services are offered via email or telephone support only.  Examples of HR coaching and consultation include: 1) employer-employee internal relations, 2) organizational and strategic planning, 3) business management and employee improvement affecting morale, 4) organizational business ethics and values, 5) effective leadership, 6) pre-employment hiring, interviewing, orientation, fit and socialization, 7) termination, reclassifications and layoffs, 8) labor relations, 9) training and development, and 10) all forms of discussion and communication (excludes the practice of mediation and grievance process).

HRC Website Terms & Conditions of Use

Members are required to follow all terms and conditions of use associated with the use of the HRC’s website as outlined in the HRC’s Website located at www.hrconsortium.net/users_Terms.  A copy of these Terms and Conditions of Use may be printed and maintained for your records by accessing the above URL or web address.

Changes to Terms

The HRCmay, at any time, for any reason and without notice, make changes to (i) its Membership Website, including its look, feel, format, and content, as well as its (ii) products and/or services as described in its Membership Website.  Any modifications will take effect when posted to the Website. Therefore, each time you (Member) access Member services and products, you need to review the Terms & Conditions of Use upon which access and use of the Membership Website is conditioned. By your continuing use of the Membership Website after changes are posted, you will be deemed to have accepted such changes.

Good Faith Resolution, Alternative Dispute Resolution & Governing Law

These Terms and Conditions of Use shall be governed by the laws of the State of California.  Except as provided herein, any dispute arising out of, or in connection with these Terms and Conditions of Use shall be determined by a mutual meeting between both parties in “good faith” to come to a reasonable and equitable solution that is jointly agreed upon.  If a reasonable and equitable solution cannot be agreed upon by both parties, the parties involved will submit the dispute to final and binding arbitration.  If both parties agree that arbitration is the sole and exclusive remedy for all such disputes, no other action may be brought in court or any other forum (except actions to compel arbitration or to enforce any covenants or statues regarding unfair competition, trade secrets or confidentiality).  Arbitration proceedings shall be held in California at a mutually convenient location.  Either party retains the right to exit the alternative dispute resolution agreement by written request at any time prior to entering the arbitration resolution process.  Both parties must agree on a neutral arbitrator.  If both parties cannot agree on a neutral arbitrator, the HRC shall obtain a list of arbitrators from a state or federal mediation service.  Both parties will alternately strike names from the list until only one name remains; the remaining person shall be the arbitrator. The arbitrator shall be bound by the provisions and the procedures set forth in the American Arbitration Association, and shall order such discovery as is appropriate to the nature of the claim and necessary to adjudication thereof.  Both parties shall each bear their own costs for legal representation at any such arbitration and shall equally divide and pay for the cost of the arbitrator, court reporter and incident expenses related to the hearing, if any.  UPON AGREEABLY ENTERING THE ABRITRATION PROCESS, THE MEMBER  UNDERSTANDS THAT THIS AGREEMENT IS A WAIVER OF ALL RIGHTS TO A CIVIL COURT ACTION AND DISPUTES ARISING OUT OF, OR IN CONNECTION WITH, THE AGREEMENT; ONLY AN ARBITRATOR, NOT A JUDGE OR JURY, WILL DECIDE THE DISPUTE.
